This Agreement applies when you access, register for, log in to, or otherwise use the products and services provided through Quant AI. Before using the Service, please read this Agreement carefully, especially the provisions relating to account use, service scope, limitation of liability, and dispute resolution. By creating an account, accessing, or continuing to use the Service, you confirm that you have read, understood, and agreed to be bound by this Agreement. ## 1. Service Content ### 1.1 Service Scope The Service refers to the products, features, and related services we make available through websites, applications, APIs, and any current or future delivery formats, including services whose core capabilities are based on generative AI technologies. ### 1.2 AI Service Description Certain features of the Service are powered by generative AI technologies, including large language models. These models are trained and optimized to support functions such as conversational interaction, text generation, and content assistance. When you submit text, images, files, or other materials ("Input"), the Service may use model inference to generate corresponding responses or content ("Output" or "Generated Content"), which may include text, tables, code, or other formats. ### 1.3 Service Adjustments We may add to, upgrade, modify, suspend, or discontinue the Service, or make necessary adjustments to its technical approach, features, or delivery methods in response to technological developments, legal requirements, regulatory changes, operational needs, or security considerations. ## 2. Account Management ### 2.1 Age Restrictions The Service is intended only for users who are 16 years of age or older. If you are under 16, do not register for or use the Service. ### 2.2 Account Registration Before using the Service, you must complete registration through the methods made available on the relevant page, including by email address or an eligible third-party account (such as Google or Apple), and provide true, accurate, lawful, and valid registration information. Your account is an important credential for accessing and using the Service and is intended for your own use only. It may not be transferred, gifted, inherited, or otherwise made available to another person. ### 2.3 Account Security When registering for and using your account, you represent and warrant that you will: - Be responsible for the accuracy, legality, and validity of your registration information - Keep your account credentials secure and remain responsible for all activities conducted under your account - Not register accounts in bad faith, including through frequent, bulk, or similar abusive registration practices - Not transfer, lend, rent, or otherwise make your account available to others ## 3. Usage Standards ### 3.1 Authorization Scope Subject to your compliance with this Agreement and applicable law, we grant you a personal, revocable, non-transferable, and non-exclusive right to use the Service lawfully. If you publish, display, or otherwise distribute Output generated by the Service, you should: - Independently review the authenticity, accuracy, and suitability of the Output to avoid spreading incorrect or misleading information - Clearly indicate, where reasonable and appropriate, that the relevant content was generated by artificial intelligence - Refrain from publishing or distributing content that violates this Agreement, applicable law, or platform rules ### 3.2 Prohibited Conduct You must not use the Service to input, generate, distribute, or facilitate the distribution of any unlawful, improper, or harmful content, including but not limited to: - Content that violates applicable laws and regulations - Content that infringes the lawful rights of others, including intellectual property, privacy, and other personal rights - Hate, harassment, discrimination, or content that incites violence - Violence, terrorism, or content that encourages criminal activity - Child sexual exploitation/abuse material - Fraud, phishing, malware, or other security-risk content - Spam or large-scale automated abuse content ### 3.3 Security Standards You must not interfere with, damage, attack, or otherwise jeopardize the security of the Service or the related systems, networks, models, and components that support it. Prohibited conduct includes: - Illegal intrusion into networks or related systems - Interfering with or damaging the normal operation of networks or systems - Stealing network data, or reverse engineering, disassembling, or decompiling the software - Any other activity that endangers the security of the Service, its systems, networks, models, or related components ## 4. Input and Output ### 4.1 Your Responsibilities You are responsible for all Input submitted to the Service and the corresponding Output. You represent and warrant that you have all rights, licenses, permissions, and authorizations necessary for the Service to process your Input, and that your Input and corresponding Output do not infringe any third party's intellectual property rights, portrait rights, reputation rights, name rights, privacy rights, personal information rights, or other lawful interests. ### 4.2 Rights Attribution To the extent permitted by applicable law and this Agreement, the following allocation applies to Input and Output: - You retain any rights, title, and interest you already hold in the Input you submit - Any rights, title, and interest in Output that may lawfully be assigned or attributed by us are, where applicable, attributed to you - You may use Input and Output for personal, research, or other lawful purposes, subject to applicable law and this Agreement ### 4.3 Data Usage Commitment We do not use your data to train AI models. Your conversation content is used only to provide the real-time responses necessary to deliver the Service and is not used for model optimization, training, or other unrelated purposes. We take reasonable measures to protect your information in accordance with applicable requirements. ### 4.4 Content Randomness Because of the technical characteristics of generative AI, Output may be probabilistic, similar across requests, or non-unique. You understand and agree that the same or similar Generated Content may be produced for different users. ## 5. Output Guidance and Labeling Rules ### 5.1 Disclaimer Output generated by the Service is produced by artificial intelligence models and may contain errors, omissions, delays, or incomplete information. It is provided for general reference only and does not constitute any commitment, warranty, or professional advice from us. If you use the Service in areas requiring professional judgment, such as medical, legal, investment, tax, or compliance matters, you should evaluate the Output carefully in light of your actual circumstances and consult qualified professionals where appropriate. ### 5.2 Content Labeling To reduce confusion, misunderstanding, or misidentification, we may apply labels to AI-generated content within the Service. You must not remove, alter, forge, obscure, or circumvent such labels without authorization. ## 6. Intellectual Property and Other Rights Except as otherwise provided by applicable law or this Agreement, we and/or the relevant rights holders own or control the rights in the Service and its constituent elements, including software, technology, programs, code, model weights, interfaces, web content, text, graphics, layout designs, trademarks, and electronic documents. Without our prior written consent, you may not use any trademarks, service marks, trade names, domain names, website names, or other identifiers associated with the Service, including "Quant AI," nor may you display, use, register, or otherwise exploit those identifiers alone or in combination with other elements. ## 7. Complaints and Feedback Please note that Output generated through the Service is not a manual response from customer support personnel. If you believe any content may infringe your intellectual property or other lawful rights, if you discover unlawful, false, or abusive use, or if you have comments or suggestions about the Service, you may contact us through the in-product "Contact Us" entry or our public contact email address. ## 8. Breach Handling and Limitation of Liability ### 8.1 Breach Handling If you violate this Agreement, applicable law, or other service rules, we may, to the extent permitted by law and in light of the nature and severity of the violation, take measures such as issuing warnings, requesting correction, restricting account features, suspending access, terminating the account, or limiting re-registration. ### 8.2 Service Limitations We strive to maintain a safe, stable, and continuous Service. However, the Service is provided on an "as is" and "as available" basis. Because of current technical limitations, network conditions, third-party dependencies, and other objective constraints, we cannot guarantee that: - The Service will operate without interruption, error, interference, instability, or failure - All defects can be corrected under the current state of technology - Generated content will always be lawful, authentic, complete, accurate, timely, or suitable for your intended purpose - The Service will satisfy every user requirement in every scenario ## 9. Dispute Resolution If any dispute arises out of the formation, performance, or interpretation of this Agreement, the parties should first seek to resolve it through good-faith consultation. If consultation does not resolve the dispute, either party may pursue the matter before a court of competent jurisdiction or submit it to an arbitral body with proper jurisdiction, in each case as permitted by applicable law. ## 10. Other ### 10.1 Agreement Updates We may update this Agreement from time to time in response to changes in law, regulation, business operations, technical capabilities, or product features.
